Terms of Use


BY USING THE SERVICE, THE CUSTOMER AGREES THAT THEY HAVE READ AND UNDERSTAND THESE GENERAL TERMS AND CONDITIONS (“TERMS”). BY USING THE SERVICE, THE CUSTOMER AGREES TO BE BOUND BY THESE TERMS. THE INDIVIDUAL WHO ENTERS INTO THIS AGREEMENT ON THE CUSTOMER’S BEHALF REPRESENTS THAT (I) THEY HAVE THE AUTHORITY TO BIND THE CUSTOMER TO THESE TERMS, AND (II) THE CUSTOMER IS DULY ORGANIZED, VALIDLY EXISTING, AND IN GOOD STANDING AS A CORPORATION OR OTHER BUSINESS ENTITY. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Aigeent and the Customer agree as follows:

1. General

1.1 These Terms apply to the delivery and use of Aigeent's services by the Customer.
1.2 In case of any inconsistency between the following, the order of precedence shall be: (i) the Order (defined below); (ii) any schedules or exhibits included or referenced in these Terms; (iii) these Terms.

2. Definitions

Capitalized terms used in this Agreement shall have the following meanings:
"Agreement"
: These Terms, any Order referencing these Terms, and any schedules, addenda, supplements, or other documents referenced herein.
"Confidential Information"
: Any non-public information disclosed by one Party (“Disclosing Party”) to the other Party (“Receiving Party”) that is (i) marked confidential or (ii) reasonably understood to be confidential given the circumstances. Confidential Information includes, but is not limited to, Customer Data, business plans, financial information, and technical specifications.
"Customer"
: The entity entering into the Agreement either by signing an Order, using the Service, or by any other binding method of acceptance.
"Customer Data"
: Any data provided by the Customer that is processed by Aigeent through the Service.
"Documentation"
: Aigeent’s technical and functional documentation, available to customers, detailing the use of the Service.
"Order"
: A written order form or online registration completed by the Customer that specifies pricing, features, and usage details for the Service.
"Service"
: Aigeent’s software-as-a-service platform for analytics, reporting, and marketing optimization.
"Subscription Period"
: The duration of the Customer’s subscription to use the Service, as specified in the Order.
"User"
: Any individual authorized by the Customer to access and use the Service.

3. Use of the Service

3.1 Provision of the Service: Aigeent grants the Customer a non-exclusive, non-transferable right to use the Service during the Subscription Period, subject to these Terms. All third-party charges related to integrations (e.g., data sources or destinations) are the Customer’s responsibility.
3.2 Restrictions: The Customer shall not: (i) sublicense, resell, or lease the Service; (ii) reverse-engineer, decompile, or disassemble any part of the Service; (iii) use the Service to create competing products; or (iv) interfere with Aigeent’s systems or networks.
3.3 Changes to the Service: Aigeent reserves the right to modify the Service. Any significant degradation of core functionality will allow the Customer to terminate the Agreement with 30 days’ notice and receive a pro-rata refund for prepaid fees.
3.4 Support: Aigeent will provide setup and support as outlined in the applicable Order or Documentation.

4. Customer Responsibilities

4.1 Customer Data: The Customer is responsible for the accuracy and legality of their data and ensuring compliance with all applicable laws, including data protection regulations.
4.2 Account Management: The Customer shall maintain the confidentiality of their account credentials and notify Aigeent immediately of any unauthorized access.
4.3 Compliance: The Customer must ensure their use of the Service complies with all applicable laws and regulations.

5. Fees and Payment

5.1 Fees: All fees are non-refundable unless otherwise specified. The Customer is responsible for all taxes associated with their subscription.
5.2 Payment: Payment terms are outlined in the Order. Late payments may incur interest at the maximum rate permitted by law.
5.3 Fee Adjustments: Aigeent may adjust fees for renewals with prior notice.

6. Intellectual Property Rights

6.1 Aigeent IP: Aigeent retains ownership of all intellectual property rights related to the Service. The Customer may provide feedback, which Aigeent can use to improve the Service without restriction.
6.2 Customer Data: The Customer retains ownership of their data. Aigeent’s use of Customer Data is limited to providing and improving the Service.

7. Confidentiality

7.1 Obligations: Each Party agrees to protect the other’s Confidential Information and use it solely for the purposes of this Agreement.
7.2 Exceptions: Confidential Information does not include information that is publicly available, independently developed, or legally disclosed.
7.3 Compelled Disclosure: If disclosure is required by law, the Receiving Party will notify the Disclosing Party in advance, if legally permitted.

8. Termination

8.1 Termination for Cause: Either Party may terminate the Agreement for material breach if the breach is not remedied within 30 days of written notice.
8.2 Effect of Termination: Upon termination, the Customer’s access to the Service will be revoked, and any outstanding fees will become due immediately.

9. Limitation of Liability

9.1 No Indirect Damages: Neither Party will be liable for indirect, consequential, or incidental damages arising from the Agreement.
9.2 Liability Cap: Aigeent’s total liability under the Agreement is limited to the fees paid by the Customer in the 12 months preceding the claim.

10. General Provisions

10.1 Governing Law: This Agreement is governed by the laws specified in the Order or, if not specified, the laws of the Customer’s principal place of business.
10.2 Amendments: Any changes to this Agreement must be agreed upon in writing by both Parties.
10.3 Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
